Purpose and scope
These terms of sale ("Terms of Sale") apply to any order for an Employé IA or the Pack Entreprise IA placed on the Friendly Aigency website. They prevail over any purchaser terms and conditions, unless expressly and previously agreed otherwise.
Eligible clients
The offers presented on the site are reserved for professionals acting within the scope of their commercial, craft, professional or association activity, to the exclusion of consumers within the meaning of French consumer law. By placing an order, the client represents that they are acting in that capacity. [To validate with a legal professional: whether to add an explicit professional-status declaration at checkout.]
Description of services
Friendly Aigency offers "Employés IA" — configurable business automations (client request handling, document filing, invoice follow-up, daily reporting, appointment booking and reminders, review requests) — available individually or bundled in the Pack Entreprise IA. Each offer's description and features are detailed on the site's product pages.
Pricing
Prices are those displayed on the site at the time of order, in euros [to complete: VAT-inclusive with applicable VAT, or VAT-exempt under article 293 B of the French tax code]. Each offer includes a one-time setup fee, charged at the time of order, and a monthly subscription fee, charged in advance and renewed automatically.
Order and formation of the contract
Orders are placed online through the payment provider Stripe. The contract is formed once payment is confirmed, which automatically creates a Client Area. Any order constitutes unconditional acceptance of these Terms of Sale.
Payment
Payment is made by card via Stripe. The setup fee and first month's subscription are charged at the time of order; subsequent months are charged automatically on the billing anniversary date, until cancellation.
Going live
After ordering, the client configures their Employé IA from the Client Area via a dedicated questionnaire. The Employé IA goes live only after review by the Friendly Aigency team [to complete: target turnaround, e.g. within 2 business days of finishing the questionnaire]. The client is notified once it is live, from within the Client Area.
Term and renewal
The subscription runs for one month at a time, automatically renewed, with no minimum commitment period [to confirm].
Cancellation
The client may cancel their subscription at any time by contacting support via the site's Contact page; cancellation takes effect at the end of the current monthly period, with no refund for the period already underway. Setup fees are non-refundable once configuration has begun. Self-service cancellation from the Client Area will be offered at a later date and will replace this process once available.
No right of withdrawal
Under article L221-3 of the French consumer code, the statutory right of withdrawal available to consumers does not apply to these orders, placed by professionals acting within their business activity.
Liability
Friendly Aigency uses reasonable efforts to ensure the Employés IA function properly, without guaranteeing any specific business outcome. The client remains responsible for the content they configure and for the accuracy of the information provided. Where Friendly Aigency's liability is established, it is limited to the amounts paid by the client over the preceding twelve months, excluding any indirect damages.

Governing law and disputes
These Terms of Sale are governed by French law. Any dispute falls under the jurisdiction of the courts of [to complete: registered office city], subject to any mandatory legal provision to the contrary.
